Paramount’s next target in hostile takeover bid of Warner Bros. is a board of its own making

In the latest development of the ongoing saga between Paramount Skydance and Warner Bros. Discovery, Paramount has announced its intention to name its own slate of directors ahead of the next shareholder meeting of the Hollywood studio. This move is part of Paramount’s aggressive takeover bid of Warner Bros. Discovery, which has been met with resistance from Warner’s leadership.

In addition to naming its own directors, Paramount has also filed a lawsuit in Delaware Chancery Court in an effort to compel Warner Bros. to disclose to shareholders how it values Paramount’s bid as well as the competing offer from Netflix. Warner Bros. finds itself caught in a bidding war between Paramount and Netflix, with Paramount offering a hostile bid of $77.9 billion for the entire company.

However, Warner Bros. has yet to schedule its annual meeting or a special meeting to consider the Netflix offer, and Paramount has not yet named any potential candidates for the board.
